Pursuant to Article 57 of the Rules of Tender Sales („Official Gazette of the Republic of Srpska“, issue No. 112/03), the Directorate for Privatization (hereinafter: the Directorate) publishes the following:
PUBLIC INVITATION
To participate at the International Variable Terms Tender, code: BL-V-9/3 For the sale of state owned capital in the following company
JOINT STOCK COMPANY WOOD INDUSTRIES “PODGRADCI”

1. The Directorate if offering for sale 60,604592% of total capital in Joint Stock Company Wood Industries “Podgradci”, Gornji Podgradci (hereinafter: the Company) to a strategic partner that shall continue current activities and take over the obligation to further develop the Company.

3. Detailed data on the Company and other information concerning the participation in the tender are contained in tender documentation and shall be available to all interested parties following the signing of the document entitled “Confirmation of Interest and Confidentiality Statement”, and following the payment of compensation for tender documentation (hereinafter: the fee) in the amount of KM 5,000.00 (in writing: five thousand).
The compensation is paid into the account of the Directorate at:

4. All interested parties meeting the following qualification criterion are eligible to participate at the tender:
- Executed annual revenues exceeding KM 10,000,000.00 (in writing: ten million) in each of the last two business years (2004 is hereby taken as the last business year).
A group of persons cannot participate in the tender jointly.
5. By submitting a bid, the bidder accepts the following tender conditions:
- Retaining the core activity of the Company in the coming 3 (in writing: three) years from the conclusion of privatization.
- In the coming 3 (in writing: three) years from the conclusion of privatization, in every year have to be employed at least 400 workers.
6. Bid evaluation elements at the tender are the following: the sales price, the investment plan, the employment plan and qualifications of the bidder.
7. Bids are submitted directly in the Directorate, by January 18th 2006 at 15.00 hours at the latest. The Directorate shall retain the right to extend the deadline.
Public opening of envelopes marked with "Bid" and "Supplementary Documentation" shall be carried out in the offices of the Directorate on January 18th 2006, starting at 16.00 hours, and with the objective of disclosing the identity of bidders.
8. The Bidder is under obligation to provide security for the bid to the Directorate in the amount of KM 300,000.00 (in writing: three hundred thousand). The bid is guaranteed by paying in a cash deposit, or submitting an irrevocable, unconditional bank guarantee, collectable at the first request, issued by a bank acceptable to the Directorate. Detailed instructions are provided in tender documentation
9. The Directorate hereby invites all interested parties to submit a written request for procuring tender documentation: immediately in the Directorate, by mail, by fax or by e-mail, with the mark stating "Request for buying tender documentation - tender code BL-V-9/3”. Upon the receipt of the request, interested parties shall immediately be sent the “Confirmation of Interest and Confidentiality Statement” form to sign.
The Directorate shall not issue tender documentation to an interested party unless the interested party sends the request for buying tender documentation at least 7 (in writing: seven) days prior to the expiry of the Bid Submission Period.
10. Upon receiving a signed “Confirmation of Interest and Confidentiality Statement” form and evidence on the payment of compensation, the Directorate shall, without any delay, issue tender documentation to potential bidders, i.e. persons authorized by them, or deliver it by mail.
The Directorate shall not assume any responsibility for losses or delays that may
occur in the course of submission of tender documentation.
