In accordance with Article 57. of the Rules for Tender Sale (“Official Gazette of Republic of Srpska”, No.: 112/03), Directorate of Privatization (hereinafter: “The Directorate”) hereby issues a:  
                             

PUBLIC   INVITATION    
for participation in an International Tender with Variable Conditions (Tender Code: BL-V-74/1) for the sale of state owned capital in:  
Akcionarsko društvo za trgovinu i usluge "Glas srpski-Trgovina" A.D. Banja Luka

1. The Directorate offers for sale the equity in the company  Akcionarsko društvo za trgovinu i usluge “Glas srpski - Trgovina” A.D. Banja Luka (hereinafter: the Company), to a strategic partner who will retain the existing core activity and undertake the future development of the Company.
The offered capital for sale amounts: 62,04% of the company's total equity i.e. 1.100.842 of shares according to the Decree on Entry of the Basic Court in Banja Luka No. U/I 3506/03 as of December 30th, 2003, and 62,032787% of the of the company's total equity i.e. 1.100.332 of shares according to the Notification of the Central Registry of  Securities a.d. Banja Luka - Review of the ownership structure of issuer as of December 12 th, 2005.

3. Detailed information about the company and other information necessary for Tender participation is contained in Tender Documentation and will be provided to all interested parties after signing a form “Confirmation of Interest and Confidentiality Agreement” and payment of a fee in an amount of KM 3.000,00 (in writing: KM three thousand) for the Tender Documentation (hereinafter: “the fee”).

4. Any interested party meeting the following qualification criteria will be eligible to bid:
-         Achieved annual total revenue of at least KM 5.000.000,00 (in writing: KM five million), in each of the last two business years (the last business year implies the year 2004)
Two or more entities can not execute a joint participation in the Tender.
 
5. By submitting a bid a Bidder accepts the following Tender Condition:
-          Retaining the core activity of the Company at least 3 (in writing: three) years after the privatization
6. Tender valuation criteria are: sales price, investment obligation, plan of employment and Bidder's qualification.
 
7. Bids shall be submitted directly to the Directorate by February 1st, 2006 at 3:00 p.m., at the latest. The Directorate retains the right to extend the deadline.
Public openining of the envelopes bearing the mark “Bid” and “Supporting Documentation” shall be conducted at the premises of the Directorate on February 1st, 2006 commencing at 4:00 p.m., with an aim of disclosing bidders' identity.  
8. Bidder is under obligation to guarantee a bid to the Directorate in the amount of KM 200.000,00 (in writing: KM two houndred thousand). The bid is guaranteed with the payment of a cash deposit or the submission of an irrevocable, unconditional bank guarantee, collectable on the first request, issued by a bank acceptable to the Directorate. The detailed instructions are provided in the Tender Documentation.
9. The Directorate hereby invites all interested parties to submit a written request for purchasing of Tender Documentation: directly in the Directorate, by post, fax or e-mail and display the reference: “Request for purchasing of Tender documentation – Tender code BL-V-74/1” clearly. Immediately, upon receipt of the request, the Directorate will forward the interested party the “Confirmation of Interest and Confidentiality Agreement” form for signature.
           The Directorate will not sell the Tender Documentation to the Interested Party, if the 
           request for purchasing is not submitted 7 (in writing: seven) days before bid
           submission deadline, at the latest.  
10. Upon receipt of the signed “Confirmation of Interest and Confidentiality Agreement” form and clear evidence of payment of the Tender Documentation fee, the Directorate will issue the Tender Documentation to the Bidder or hand it to any person authorized by the Bidder, or send it by post.
           The Directorate shall not be held liable for any loss or delay that may occur in  delivering the Tender Documentation.
